1. Acceptance of these Terms

By creating an account, clicking "Get started", or otherwise using the Services, you agree to these Terms and to our Privacy Policy. If you use the Services on behalf of a company or fund, you confirm that you are authorised to bind that entity, and "you" refers to both you and that entity. If you do not agree, do not use the Services.

2. The Services

VXOS is an agentic operating system for fundraising. Depending on your role and plan, it lets you:

• upload a pitch deck and have AI extract a company profile and produce an evaluation report across eight dimensions;
• publish your profile and be discovered by, matched with and message verified investors;
• rehearse pitches with AI venture partners in the Virtual Pitch Room;
• use AI agents (including vrox, KPI, calendar, financial, VroLead, VroBoard and deck agents) to run day-to-day operations;
• maintain a data room, collaborate with your team, and book operators for expert services.

We continuously improve VXOS and may add, change or remove features. Features marked "Soon", "Beta" or similar are provided as-is and may change without notice.

3. Eligibility and accounts

• You must be at least 18 years old and able to form a binding contract under Indian law.
• You must give accurate, current and complete information and keep it updated.
• You are responsible for keeping your login credentials secure and for all activity under your account. Tell us immediately at vx@vrozart.com if you suspect unauthorised access.
• One VXOS login works across all VXOS apps. You may not share accounts or create accounts using automated means.

4. Roles on VXOS

Founders

You confirm that you are authorised to share the company information and documents you upload, and that the information is accurate and not misleading. Publishing a profile does not guarantee investor interest or funding.

Investors

You agree to keep confidential any non-public information you access about a startup, to use it only to evaluate a potential investment, and to comply with all laws applicable to you, including SEBI regulations where relevant. Verification by VXOS is not an endorsement.

Operators

You are an independent provider, not an employee or agent of VrozartX. You are solely responsible for the services you offer, the quality of your work, any professional licences required and applicable taxes.

5. Your content

You keep all rights to the decks, documents, data, messages and other content you submit ("Your Content"). You grant VrozartX a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit and display Your Content solely to operate, secure and improve the Services for you, and to share it with the people you choose. This licence ends when you delete Your Content or your account, except for backups retained for a limited time and content you have already shared with others.

You are responsible for Your Content and confirm it does not infringe anyone's rights or break any law.

6. AI outputs

Scores, evaluations, summaries, match suggestions, financial projections, decks and other outputs generated by VXOS agents ("Outputs") are produced automatically by machine-learning models. Outputs can be incomplete, inaccurate or out of date. You must review Outputs before relying on them or sharing them. Subject to these Terms, you may use Outputs generated for you for any lawful purpose.

8. Acceptable use

You agree not to:

• upload false, misleading or fraudulent information, or impersonate any person or company;
• upload content that is unlawful, defamatory, obscene, infringing, or contains malware;
• scrape, crawl or harvest data or contact details of other users;
• send spam or unsolicited promotions through messaging features;
• reverse engineer, probe or bypass security, rate limits or credit metering;
• use the Services or Outputs to build a competing product, or to train AI models;
• use the Services in violation of any applicable law, including securities, data protection and anti-money-laundering laws.

9. Plans, credits and payments

• Some features are free; AI agents consume credits. Credits are purchased through plans or granted by VrozartX, and each request is charged at the rate shown in the app at the time.
• Each plan has a validity period. Unused credits expire at the end of that period and cannot be carried forward, transferred or exchanged for cash.
• Prices are in Indian Rupees and include or exclude GST as shown at checkout. Payments are processed by Razorpay; by paying you also agree to Razorpay's terms.
• An invoice is generated for every purchase and is available in your account.
• We may change prices for future purchases with reasonable notice. Changes do not affect credits you have already bought.
• Refunds are governed by our Refund & Cancellation Policy.

10. Operator bookings

When a founder books an operator's time slot, the contract for those services is between the founder and the operator. VrozartX facilitates booking and payment. A booking cancelled at least 24 hours before the slot starts is refunded in full; later cancellations are not refundable. VrozartX is not responsible for the quality or outcome of operator services, but you can report problems to us and we will review them in good faith.

11. Intellectual property

The Services — including software, agents, prompts, designs, the VXOS and VrozartX names and logos, and all content we provide — are owned by VrozartX or its licensors and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services in accordance with these Terms. If you send us feedback, we may use it without any obligation to you.

12. Third-party services

The Services integrate with third parties such as Google, LinkedIn, Razorpay and AI model providers. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them.

13. Suspension and termination

You may stop using the Services and delete your account at any time. We may suspend or terminate your access, unpublish profiles or remove content if you breach these Terms, if required by law, or to protect users or the Services. Where reasonable we will give notice and an opportunity to respond. Sections that by their nature should survive termination (including 5–7, 11 and 14–17) will survive.

14. Disclaimers

The Services are provided "as is" and "as available". To the fullest extent permitted by law, VrozartX disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not guarantee that the Services will be uninterrupted or error-free, or that you will raise funding, find investors or achieve any business result.

15. Limitation of liability

To the fullest extent permitted by law, VrozartX will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or investment opportunity. Our total liability for any claim arising out of or relating to the Services is limited to the amount you paid to VrozartX in the 12 months before the event giving rise to the claim, or ₹10,000, whichever is higher.

16. Indemnity

You agree to indemnify and hold harmless VrozartX and its team from any claims, losses and expenses (including reasonable legal fees) arising from Your Content, your use of the Services, your dealings with other users, or your breach of these Terms or any law.

17. Governing law and disputes

These Terms are governed by the laws of India. We encourage you to contact us first so we can try to resolve any dispute informally. Any dispute not resolved within 30 days will be subject to the exclusive jurisdiction of the courts in India where VrozartX is registered.

18. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here with a new "Last updated" date and, for material changes, notify you by email or in the app. Continuing to use the Services after changes take effect means you accept them.
